
Affiliate Program Terms and Conditions

1. Introduction
Welcome to The Why Collective (Pty) Ltd t/a TowelShack (“Company”, “we”, “us”, “our”). These Terms and Conditions (“Terms”) govern your participation in our Affiliate Program (“Program”). By enrolling in the Program, you (“Affiliate”, “you”, “your”) agree to comply with these Terms.
2. Eligibility
To participate in the Program, Affiliates must:

Be at least 18 years old.

Possess a valid email address and accurate contact information.

Maintain an active and compliant platform (e.g., website, blog, social media account) suitable for promoting our products.

Comply with all applicable local, state, national, and international laws and regulations.
3. Affiliate Registration and Approval
To join the Program, you must complete the online application form available on our website.
We reserve the right to approve or reject any application at our sole discretion.
Upon approval, you will receive a unique Affiliate Code and access to your affiliate dashboard.
4. Affiliate Code and Tracking
Each approved Affiliate will receive a unique Affiliate Code (“Affiliate Code”).
Affiliates must use their Affiliate Code in all promotional activities to ensure accurate tracking of referred sales.
The Affiliate Code should be clearly displayed on your promotional materials, including websites, blogs, emails, and social media posts.
5. Commission Structure
Affiliates earn a commission of 7.5% of the total value of each product purchased through their unique Affiliate Code.
Commissions are calculated based on the net sale amount, excluding taxes, shipping, handling fees, and any discounts or promotions applied.
6. Payment Terms
Commissions are payable at the end of each quarter (March, June, September, December).
Payments will be made upon receipt of an invoice within 30 days after the end of each quarter.

A minimum payout threshold of ZAR 500 must be reached before a payment is issued. If the threshold is not met, the commission will roll over to the next quarter.
The Company reserves the right to withhold payments until all necessary information is provided and verified.
7. Affiliate Responsibilities
Affiliates agree to:

Promote TowelShack products in a truthful and accurate manner.

Ensure all promotional activities comply with applicable laws, regulations, and industry standards.

Avoid misleading or deceptive marketing practices.

Refrain from using TowelShack’s trademarks, logos, or copyrighted materials without explicit permission.

Disclose the affiliate relationship to your audience as required by law
8. Prohibited Activities
Affiliates may not:

Engage in fraudulent activities, including but not limited to, click fraud, false advertising, or misrepresentation of products.

Use spam or unsolicited communications to promote products.

Bid on TowelShack’s branded keywords in paid search campaigns without prior written consent.

Modify or alter TowelShack’s promotional materials in a way that misrepresents the Company or its products.
9. Termination
Either party may terminate this agreement at any time with or without cause by providing written notice to the other party.
Upon termination, Affiliates must immediately cease using all TowelShack promotional materials and Affiliate Codes.
The Company reserves the right to terminate an Affiliate’s participation if there is a breach of these Terms or involvement in any prohibited activities.
Outstanding commissions will be paid in accordance with the Payment Terms, provided the Affiliate has complied with all Program requirements up to the termination date.
10. Changes to the Program
The Company reserves the right to modify, suspend, or discontinue the Program, in whole or in part, at any time with reasonable notice to Affiliates.
Changes to the commission structure, payment terms, or other key aspects of the Program will be communicated via email or through the affiliate dashboard.
Continued participation in the Program after any changes constitutes acceptance of the new terms.
11. Limitation of Liability
The Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the Program or these Terms.
The Company’s total liability to Affiliates for any claims arising out of the Program shall not exceed the total commissions paid to the Affiliate in the preceding six months.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of South Africa.
Any disputes arising from or related to these Terms or the Program shall be subject to the exclusive jurisdiction of the courts located in Cape Town, South Africa.
13. Miscellaneous
These Terms constitute the entire agreement between the Affiliate and the Company regarding the Program and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.
The failure of the Company to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
